Terms

This document was prepared for review by legal counsel and may be revised on advice of counsel. The governing-law section contains a placeholder pending that review.
1. Who we are and what these terms cover
Klix (“Klix,” “we,” “us”) operates a live-events platform at klixlive.com that provides: (a) event ticketing — storefronts, checkout, and ticket delivery on behalf of event organizers; (b) live video streaming of events; (c) on-demand video (VOD) replays and recordings; and (d) optional commemorative NFT digital collectibles minted alongside certain ticket purchases. These Terms of Service (“Terms”) are a binding agreement between you and Klix and apply whenever you use any Klix website, checkout, stream, or related service (together, the “Service”). By using the Service you agree to these Terms and to our Privacy Policy.
Tickets are issued on behalf of the event organizer. The organizer — not Klix — is responsible for the event itself: the lineup, schedule, venue, admission rules, and whether the event happens at all. Klix provides the storefront, checkout, delivery, and streaming infrastructure.
2. Accounts and eligibility
You must be at least 13 years old to create a Klix account, and a person under 13 cannot create one (consistent with the Children's Online Privacy Protection Act). If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian, and purchases must be made by an adult. Tickets for minors are purchased and held by an attending adult's account. Organizers may additionally mark an event as a Family Event, which restricts age-gated marketing and disables resale for that event, or set their own age minimums for admission.
You are responsible for the accuracy of the contact details on your account and for anything done through your sign-in methods (magic links, SMS codes, and passkeys). Tell us immediately at support@klixlive.com if you believe your account has been accessed without permission.
3. Purchases, fees, and refunds
Prices, fees, and taxes are itemized at checkout before you pay. Checkout totals may include platform and processing fees in addition to the organizer's ticket price; the exact amounts are shown on the order summary and your receipt. Payments are processed by Stripe; Klix never stores your full card number.
Refunds are governed by the per-event refund policy set by the organizer and by our platform refund rules — see our refunds page. If an event is canceled and not rescheduled, you will be offered a refund per that policy. Klix may issue refunds where required by law or where the purchase violates these Terms, and may claw back associated payouts from organizers and promoters when it does.
Your ticket is a revocable license to attend (or stream) the event, subject to the organizer's rules. It is not a security, an investment, or a guarantee of any particular experience, lineup, or view.
4. Streaming access rules
Live streams and VOD are licensed to you, for personal, non-commercial viewing, on a limited number of devices. Specifically:
Device limits. Each ticket or watch link permits a limited number of simultaneous devices (typically one per ticket unless the event specifies otherwise). Exceeding the limit may disconnect your oldest session or block new ones.
Forensic watermarking. To deter piracy, playback may carry a per-viewer forensic watermark that ties a leaked recording back to the account and session that played it, as described in our Privacy Policy.
No rebroadcast. You may not record, screen-capture, restream, publicly perform, or otherwise redistribute any live stream or VOD, in whole or in part, or circumvent (or attempt to circumvent) any access control, device limit, watermark, or DRM.
Enforcement and bans. If we detect rebroadcasting, credential sharing beyond the device limit, or circumvention, we may terminate the session, revoke the ticket or watch link without refund, and ban the associated account and sessions from future streams. Repeat copyright infringers are terminated per our Copyright & DMCA Policy.
5. NFT digital collectibles
Some organizers include a commemorative NFT collectible with ticket purchases. The collectible is a digital keepsake minted on a public blockchain (currently Polygon) to a secure custodial wallet Klix holds and associates with your purchase email — you do not need a crypto wallet, and you are never asked to pay gas fees. Collectibles are never the entry credential: your ticket QR remains that. Collectibles have no promised monetary value, are not an investment, and Klix makes no representation that any collectible will be transferable to third-party marketplaces or retain any value. Blockchain records are public and permanent by design.
6. Prohibited conduct
You agree not to: (a) record, restream, or redistribute any stream or VOD, or assist anyone else in doing so; (b) resell or transfer tickets except through features the organizer has enabled; (c) use bots, scripts, or automated means to buy tickets, scrape the Service, or defeat purchase limits; (d) circumvent device limits, watermarks, geographic or age restrictions, or any other access control; (e) misrepresent your identity or payment authority, or use stolen payment instruments; (f) upload or distribute content that infringes others' rights, is unlawful, or contains malware; (g) harass, threaten, or abuse other users, organizers, performers, or staff; or (h) interfere with the operation or security of the Service. We may investigate violations, suspend or terminate access, cancel orders, and involve law enforcement where appropriate.
7. Organizer and user content
Organizers, performers, and users retain ownership of the content they upload (event artwork, descriptions, video, and similar). By uploading content you grant Klix a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, transcode, watermark, and distribute that content as needed to operate, promote, and improve the Service (for example: rendering your event storefront, delivering your stream, generating promotional imagery, or embedding artwork in a collectible's metadata). You represent that you have all rights needed to grant this license — including music, footage, and likeness rights for anything you stream — and that your content does not infringe anyone's rights. This license ends when the content is deleted from the Service, except for copies retained in backups or as required by law.
8. Copyright and DMCA
Klix respects intellectual-property rights and expects the same from users and organizers. Our takedown-notice process, counter-notice process, designated agent contact, and repeat-infringer policy are set out in our Copyright & DMCA Policy, which is part of these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, KLIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KLIX DOES NOT WARRANT THAT STREAMS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY EVENT WILL OCCUR AS SCHEDULED, OR THAT ANY COLLECTIBLE WILL HAVE OR RETAIN VALUE. EVENTS ARE PRODUCED BY THEIR ORGANIZERS; KLIX IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF ORGANIZERS, VENUES, OR PERFORMERS.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KLIX AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. KLIX'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID THROUGH THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AND (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.
11. Governing law
These Terms are governed by the laws of the State of [State — placeholder pending counsel review], United States, without regard to conflict-of-law rules, and any dispute will be brought in the state or federal courts located in that state, unless applicable law gives you the right to another forum.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the “Last updated” date above and, where required, give you additional notice (for example by email or an in-product banner). Continuing to use the Service after changes take effect means you accept the updated Terms.
